2. Mandatory Identity Verification (eKYC)
We strictly enforce a mandatory identity verification process for all global users before any services are rendered. You must explicitly consent to eKYC verification and provide valid Government-issued ID details. Matrix Sols reserves the right to suspend or terminate accounts immediately if a user provides falsified documents or fails to maintain updated KYC records.
3. Payment Gateway API and Credential Storage
Matrix Sols operates exclusively as a pass-through payment link generator. We do not acquire, hold, or settle funds on behalf of our clients.
- Merchant Accounts: Clients are strictly responsible for maintaining their own merchant accounts with third-party processors (such as Paytm, PhonePe, BharatPe, HDFC, or others).
- Credential Storage: Clients may save their third-party merchant API details within the Matrix Sols platform to automate link generation. We secure these stored credentials using industry-standard encryption.
- Client Liability: By storing these credentials, you agree to adhere to the independent terms and conditions of your respective merchant processors. Matrix Sols assumes no liability for issues arising from your third-party merchant agreements.
4. Service Level Agreements (SLA) and Rate Limits
Matrix Sols commits to a 99.99% uptime target for our core API services. API rate limits are strictly enforced and vary depending on the active subscription tier purchased by the client. Matrix Sols reserves the right to throttle or temporarily block traffic that exceeds assigned rate limits to protect infrastructure stability.
5. Acceptable Use and Automated Moderation
Matrix Sols assumes zero liability for the actions of clients utilizing our services. As a user, you agree to the following:
- Prohibited Content: The transmission of unauthorized spam, malicious links, or fraudulent communications via our messaging APIs (WhatsApp, Telegram, Discord) is strictly prohibited.
- Automated Scanning: We deploy automated security systems to scan message context for abusive, illegal, or prohibited content.
- Enforcement: Any detection of prohibited activity will result in an immediate, unappealable account ban and the cessation of all active services.
6. AML Compliance and Law Enforcement Requests
Our security infrastructure actively monitors network behavior and IP addresses to detect suspicious activities and prevent money laundering and counter-terrorism financing. Matrix Sols strictly requires a formal legal notice or subpoena from a court of competent jurisdiction before sharing any client data with government or law enforcement agencies.
7. Data Retention and Erasure
We respect your right to privacy and data control. Clients have the right to request the deletion of their personal metadata. However, we legally retain encrypted logs of financial transactions, API keys, and IP logs for a minimum of six months to fulfill security auditing requirements. Matrix Sols will categorically refuse data deletion requests for accounts currently under investigation for fraud or abuse.
8. Wallet Architecture and Top-Ups
Matrix Sols operates a pay-as-you-go billing model. Clients must pre-load funds into individual, service-specific digital wallets using supported UPI or cryptocurrency methods.
- Non-Refundable: All wallet top-ups are strictly non-refundable to external bank accounts, credit cards, or external crypto wallets.
- Service Isolation: Funds loaded into a specific service wallet cannot be transferred to a different service wallet on our platform.
9. Digital Transactions and Outages (Refund Policy)
All executed digital transactions, API calls, and completed digital topups are final and non-refundable.
- Downtime Compensation: If a service experiences downtime, cash refunds are not issued. Compensation for missed SLAs is provided exclusively in the form of system service credits, calculated against the duration of the outage.
- Third-Party Outages: Outages originating from third-party upstream providers (including telecom networks for SMS delivery or government databases for eKYC validation) and scheduled maintenance windows are strictly excluded from SLA credit calculations.
10. Cryptocurrency Value and Refunds
In the rare event that Matrix Sols authorizes a refund for a cryptocurrency payment (e.g., due to permanent service discontinuation), the refund will be calculated based on the exact fiat currency value recorded at the precise timestamp of the original purchase. We do not account for market volatility or token appreciation. Blockchain network transaction fees incurred during the original transaction are non-refundable and will be deducted from the final credit.
11. Limitation of Liability
Matrix Sols is not liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site or our API services, including but not limited to errors, interruptions, loss of data, or unauthorized access to your stored API credentials.
12. Dispute Resolution and Compliance
Arbitration: Any dispute, controversy, or claim arising out of or relating to this contract shall be decided by arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in English.
Jurisdiction: You agree to submit any dispute or claim arising out of or in connection with the Services to the exclusive jurisdiction of the courts of India.
13. Changes to Terms
We may update these Terms and Conditions to comply with applicable laws and regulations. Any significant changes will be communicated to you via email and a notification on our platform. Continued use of the services constitutes acceptance of the new terms.
